Volt terms supersede all other terms unless prohibited by law.

Pricing and Product changes
VIP reserves the right to change, improve, or discontinue products without notification. VIP reserves the right to change material used to manufacture our products.


All pricing is subject to change without notice. Quoted prices are good for 15 days. Please refer to your Acknowledgement for pricing in effect at time of order placement.

Payment terms
Standard terms are 1½% 10 Days, Net 30 Days. Terms are established based on the customer’s credit rating by an established credit bureau. Credit may be denied or advance payment via credit card, COD with Cashier’s Check or Money Order, or Cash in Advance may be required, at the discretion of VIP. Terms of payment are effective from date of invoice.


Payment may be made via check, ACH, International Wire, or Credit Card. VIP accepts American Express, Visa, and MasterCard. All Wire and ACH Fees, including those charged by international banks, are to be paid by sender. If funds are not received for full amount of invoices being paid, unpaid balance will remain on account and age according to terms.

Terms Discount is not allowed on Credit Card, COD, or Cash In Advance purchases.

VIP reserves the right to hold shipments on any account determined to be delinquent or if customer becomes insolvent or files for bankruptcy.

Customer agrees that when failure to pay under the credit terms granted and/or issuing a check returned for non-payment necessitates VIP to pursue legal action and/or suit actions for monies due, that customer will pay all legal costs of VIP associated with the collection of monies rightful due VIP.

Shipping
All shipments are FOB Yellville, AR. Customer will be invoiced for shipping expense and any additional cost, including insurance and special handling.


Shipping mode and carrier is determined by customer. If unspecified, mode and carrier will be at VIP’s discretion. 

UPS and Federal Express are scheduled to pick up daily. Please contact VIP for information on truck carriers available. Truck shipments may not ship same day, as determined by availability of trucks in this area.

Shipping on customer’s freight account is available with valid account number.

Unless specifically instructed otherwise by customer, all shipments will be insured, with the cost of insurance included in the freight charges.  Packages should be visually inspected upon receipt and rejected if damaged.  VIP must be notified within 10 days of ship date if shipment is damaged in transit, and will assist the customer in filing a claim. Any credit due to damage in transit will be issued by VIP upon receipt of reimbursement check from freight carrier. Customer is responsible for filing claims for freight if shipment is sent freight collect. Beyond assisting customers with filing claims and issuing credits on shipments for which VIP was reimbursed, VIP accepts no liability for shipments lost, damaged, or delayed by freight carriers or forwarding agents.

Any charge backs or added charges subsequently billed to VIP by freight carrier will be billed on a separate invoice to customer.

VIP will drop ship for a fee upon request.

All line items are subject to a 5% shortage unless specifically agreed to by VIP.

Delivery schedule
Anticipated shipping and delivery will be indicated at time of Purchase Order acknowledgement. Ship Date is subject to change upon notification from VIP. 


To save the customer increased freight charges, in the event VIP does not have the full quantity ordered in stock, all line items will be shipped complete, subject to 5% shortage, unless specified.

Cancellation of an accepted purchase order by customer is subject to approval with terms to protect VIP from any financial loss.

Returns
All claims must be made within 15 days of ship date. A Returned Material Authorization (RMA) will be issued if VIP agrees to the return. Please return parts within 14 days if in the United States or within 21 days if shipping internationally. RMA’s will expire after 30 days and no credit will be issued or return accepted on an expired RMA. No returns will be received without the RMA number on all boxes. Unless agreed to by VIP, all freight charges for returned items are the responsibility of the customer.


All returns must be received in sealed plastic bags contained in appropriate boxes.  Parts must be in saleable condition, free of dirt, foreign materials, or other contaminates.

VIP reserves the right to inspect any goods determined by the customer to be defective in either materials or workmanship prior to issuing an RMA.

No returns on any special work items, such as bagged or custom made items.

Credit for returns will be issued as agreed by VIP. Deductions from payments are not allowed until credit memo is issued and received by customer. Credit Determination can only be assessed after parts are returned and inspected.  Issuance of an RMA does not imply the credit has been predetermined. Please, do not use any credit on payments until you have received a copy of the credit from Volt.  Any unauthorized deduction will not be applied, will remain as unpaid on customer’s account, and will be subject to aging according to terms. Credit cards will not be credited.

A 25% restocking fee will be charged for all returns when VIP is not at fault.

No credit will be issued for charges arising from inspection, sorting, or down time unless specifically agreed to in writing by VIP.

Shortages
All shortage claims must be made within 10 days of ship date. Failure to notify us within specified time will constitute acceptance of the shipment quantity as indicated on packing slip.


Material Service Fee
VIP has implemented a $11 fee on any rod order not over 100 feet.


Force Majeure
The ability of VIP to provide the products and/or services agreed to is subject to acts of God, government authority, disaster or other emergencies, any of which make it illegal or impossible to provide the product and/or services. VIP reserves the right to defer the date of delivery or to cancel the order if we are delayed in production or acquiring materials due to any event of force majeure, without liability.


Carrier Strike

In the event of a UPS strike, Volt Industrial Plastics will not be responsible for lost, delayed or missing packages. If customers want a replacement shipment, customer will be responsible for both the cost of the original shipment and the cost of the replacement. Credits will not be issued to customers until a refund has been obtained from UPS. Returns on replacement orders will have a 25% restocking fee and will be allowed as long as the parts are stock items. Volt Industrial Plastics does ship using Fed Ex. We highly recommend customers apply for a Fed Ex account number.


Aeronautics Disclaimer

The materials provided by Volt Industrial Plastics, Inc. (“VIP”) are not engineered, built, tested, insured, or intended for use in products, vehicles, or equipment used in the aeronautics industry, including but not limited to air and space crafts and equipment. VIP is not responsible for purchasers and subsequent parties’ use of materials. In consideration of VIP providing the requested materials, purchasers agree to release and hold harmless VIP from any and all claims, including but not limited to property damage and personal injury, related to the use of VIP materials in products, vehicles, or equipment used in the aeronautics industry.


Warranty/Guarantee Disclaimer
Volt Industrial Plastics, Inc. products are sold with the understanding that the buyer assumes all responsibility and liability for the application and use of VIP products. VIP warrants all of its products solely against defects in material and workmanship. This warranty is limited to replacement of VIP products shown to be defective in materials or workmanship. Under no circumstances will VIP by liable for any damage, loss or expense arising from the use, misuse or inability to use any VIP product. VIP shall not be responsible for buyer’s lost time or line down costs, manufacturing , labor, sorting, alternate purchases, extra freight, lost profit, good will, recall or other incidental or consequential costs or damages.  This warranty is in lieu of any other warranties whether expressed or implied, including but not limited to any warranty or guarantee of merchantability or fitness for us in any application.


As partial consideration of VIP’s providing products to the purchaser, the purchaser of VIP products, by accepting such products, agrees that it shall indemnify, protect, defend, and hold harmless VIP and its affiliates and their respective directors, stockholders, members, managers, officers, employees, agents, consultants, representatives, successors, transferees and assigns (collectively, the “Indemnified Parties”) from and against any and all damages arising from, relating to or associated with any use, misuse, or inability to use any VIP product.
